5 - Licensing Terms

Think of licensing as renting rights. It could be renting rights to a single song or a collection of songs. If you have ever heard a popular song in a television show or movie, this song was most likely licensed from the artist/record label. Music intended to be synchronized with picture requires two licenses: 1. Synchronization License 2. Master Use License Synchronization License: The right to synchronize the underlying composition with linear picture (linear time). If we remember from earlier posts, the "underlying composition" is the Performing Arts (PA) copyright. Master Use License: grants a party the right to use a specific Sound Recording (SR) copyright. You will need both the Synchronziation and Master Use licenses to legally license a song for your video production. Using the previous “My Song” example, written by Jason. If I want to license Jason's hip hop version of "My Song", who do I go to for the Synchronization License and Master Use License? For the Synchronization License, we would go to Jason because owns/controls the Performing Arts (PA) copyright. In this example, Jason also created his hip-hop Sound Recording - so we would also go to Jason for the Master Use License. What about the Kidz Bop version of "My Song"? For the Synchronization License, we would still need to go to Jason because he controls the underlying composition and the Performing Arts (PA) copyright. Remember, Kidz Bop created a new record / master. For the Master Use License, we would need to go to Kidz Bop because they control the Sound Recording (SR) copyright. Between Jason and Kidz Bop, we have two separate negotiations two separate contracts. Now that we have an idea of where to go for the Synchronization and Master Use licenses, what are the terms for the license? For a license, there are (4) basic terms to negotiate: 1. Media Type: What media can this be played on. Is it YouTube only? All digital streaming? Radio? Broadcast? Or "All Media". 2. Term: How long is the license valid? One Year? Two Years? or Perpetuity (Forever) 3. Territory: Where is the license valid? United States? United States and Canada? Worldwide? or the Universe (seriously). 4. Compensation: How much will the license cost? The more rights you need, the more it will cost. When you are looking to license out a popular song, it can be very confusing knowing where to go.
